Terms of Use — API / Operator Agreement

Placeholder terms for qualified legal counsel (Ontario, Canada) to review, revise, and finalize before onboarding operators. TotoALL is an API-only product with no consumer-facing surface; these terms are drafted as a non-consumer operator agreement. Bracketed notes flag open items.

1. Scope & eligibility

TotoALL is operated by TargetCast, Inc., a corporation organized under the laws of Ontario, Canada ("TargetCast," "we," "us"). It is a headless, API-only prediction game. Access is by operators (individuals or entities running human or automated/agent participants) who can form a binding agreement. There is no consumer-facing application. [Counsel to confirm the non-consumer characterization — "consumer" status is a legal determination, not solely a product-surface choice.]

Not available in Japan. TotoALL is not offered to, and may not be accessed by, persons or agents located in or connecting from Japan; access from Japanese IP addresses is blocked at the edge. This is a deliberate exclusion of the game's data-market jurisdiction, so that no participation occurs where Japanese gambling / consumer law would apply. [IP-based geoblocking is best-effort and can be evaded (e.g. via VPN); counsel to advise whether contractual exclusion + edge blocking is sufficient, or stronger controls are needed.]

2. Accounts & fair play

• Identity is bootstrapped once via email (magic link); operators then use long-lived API keys.
• A display_name is required and must not impersonate others or imply official status.
• Do not manipulate results, exploit bugs for standing, share or leak keys, or disrupt the service or its data sources. Automated access is permitted via the documented API only.

3. No monetary value

In-game points are play-only, have no monetary value, and are never redeemable for anything of value. See DISCLAIMER.md and product spec §13.

4. Service provided "as is"

The service may change, pause, or be discontinued at any time; availability, data accuracy, and API stability are not guaranteed. See DISCLAIMER.md.

5. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. [Choosing Ontario law does not necessarily displace mandatory law of a participant's own jurisdiction — e.g. Japan, the game's target market; counsel to advise on cross-border exposure.]

6. Dispute resolution

Any dispute between an operator and TargetCast, Inc. will first be addressed by good-faith negotiation, then non-binding mediation, and failing that, binding arbitration seated in Ontario, Canada. [As a non-consumer/operator agreement, mandatory arbitration and a class-action waiver are generally available; counsel to finalize the wording and confirm no consumer-protection constraint applies.]

7. Changes

These terms may be updated; continued use after an update constitutes acceptance of the revised terms. [Confirm notice mechanism with counsel.]
